Terms of Use

The short version

  • ZennyAI organizes your books. It is not tax, accounting, legal, or financial advice — you (and your accountant) make the calls.
  • Zenny’s AI suggests and files; every filing is reviewable and reversible. You’re responsible for reviewing your books.
  • Your data is yours. We only get the license needed to run the service for you.
  • The beta is free and invite-only; things may change while we build.

1. Agreeing to these terms

By creating an account or using ZennyAI (the “Service”), operated by Ruby LLC (“we,” “us”), you agree to these Terms of Use and to our Privacy Policy. If you don’t agree, don’t use the Service.

2. Who may use ZennyAI

You must be at least 18 years old and a resident of the United States. During the beta, access is by invitation only; an invitation is personal to you and doesn’t transfer.

3. What ZennyAI is — and is not

ZennyAI is a bookkeeping inbox: it imports your transactions, uses AI to suggest how they should be filed between business and personal, and produces organized records and exports you can hand to your accountant.

ZennyAI is not a tax preparer, accountant, financial advisor, or law firm, and nothing it produces is tax, accounting, investment, or legal advice. ZennyAI never computes tax liability. The classifications Zenny suggests are organizational aids, not professional determinations — whether an expense is deductible, and how your books translate to a filing, are questions for you and your tax professional.

AI makes mistakes. That’s why every automatic filing in ZennyAI shows its reasoning and can be changed with a tap — and why you agree that you are responsible for reviewing your books and for anything you or your professionals do in reliance on them.

Confidence scores are estimates generated by automated systems, not guarantees of accuracy. Saved rules and automatic filings may apply incorrectly when merchants, descriptions, accounts, or circumstances change — review stays yours.

4. Your account

Keep your sign-in method secure. Email sign-ins require two-factor authentication; if you sign in with Google or Apple, their protections apply. You’re responsible for activity under your account. Tell us immediately at contact@zennyai.app if you believe your account has been compromised.

5. Bank connections

Bank and card connections are provided through Plaid. By connecting an account you authorize us to receive read-only transaction and account data from your financial institution through Plaid, and you agree to Plaid’s terms and privacy policy. ZennyAI does not receive your bank username or password, and its current integration cannot initiate payments or move money. We are not responsible for the accuracy of data your institution provides.

6. Your data

Your books are yours. You grant us only the license needed to operate the Service: to store, process, back up, display, and export your data at your direction, including sending transaction details to our AI providers for classification as described in the Privacy Policy. We do not sell your data, use it for advertising, or allow our AI providers to use it to train their models. You may export your data at any time, and you may only upload data you have the right to use.

7. Acceptable use

  • Don’t use the Service for anything unlawful, including money laundering or fraud.
  • Don’t probe, overload, or interfere with the Service or others’ use of it.
  • Don’t reverse engineer, scrape, resell, or white-label the Service.
  • Don’t share your invitation or account with others.

8. Beta terms and fees

ZennyAI is in beta: it’s free during the beta period, features may change or be removed, and availability is provided on a best-effort basis. If you give us feedback, we may use it to improve the Service without obligation to you. We will introduce paid subscriptions with advance notice; continued use after pricing begins requires a subscription.

9. Ending things

You can stop using ZennyAI and request account deletion at any time (export your books first — exports are built in). We may suspend or terminate accounts that violate these terms or create risk for the Service, with notice where practicable. Sections that by their nature should survive termination (3, 6, 10, 11, 12) survive.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT CLASSIFICATIONS ARE CORRECT, THAT DATA FROM YOUR FINANCIAL INSTITUTION IS ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TAX OUTCOMES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR $100, WHICHEVER IS GREATER. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

12. Indemnity

You will defend and hold us harmless from claims arising out of your violation of these terms or your unlawful use of the Service.

13. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of these terms or the Service will be resolved exclusively in the state or federal courts located in Texas, and both parties consent to their jurisdiction — except that either party may bring a qualifying claim in small claims court instead.

14. Changes to these terms

If we materially change these terms, we’ll email you and note it in the app before the change takes effect. Continued use after the effective date means you accept the new terms.
